Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Chat Close platform ("Service"), operated by Valour Group (PTY) Ltd, a company being registered in South Africa ("we", "our", "us"). By signing up for or using the Service you agree to be bound by these Terms. If you are signing up on behalf of a business, you represent that you have authority to bind that business.
1. The Service
Chat Close is a multi-tenant WhatsApp sales dashboard. It routes inbound WhatsApp messages to a centralised inbox, provides AI-assisted reply suggestions powered by Anthropic's Claude API, and displays conversation metrics to retail store staff and managers.
The Service is provided on a subscription basis. Access requires a valid WhatsApp Business number connected via Twilio, and a paid subscription processed through Paddle.
2. Eligibility and account
- You must be at least 18 years old and legally capable of entering into a binding contract.
- You are responsible for keeping your login credentials confidential and for all activity under your account.
- You must provide accurate information at signup and keep it up to date.
- One account per business. Sharing access with staff under the same account is permitted within your subscription tier.
3. Subscriptions and billing
Billing is handled exclusively by Paddle.com Market Ltd. as the merchant of record. By subscribing you agree to Paddle's terms of service in addition to these Terms.
- Pricing: $149/month for the first store location; $75/month for each additional location.
- Billing cycle: Monthly in advance, charged on the day you subscribe.
- Auto-renewal: Subscriptions renew automatically each month unless you cancel.
- Cancellation: You may cancel at any time via the Billing settings page. Access continues until the end of the current paid period.
- Price changes: We will give at least 30 days' notice of any price increase via email. Continued use after the notice period constitutes acceptance.
- Taxes: Prices are exclusive of applicable taxes. Paddle collects and remits taxes where legally required.
4. Refunds
Please refer to our Refund Policy for full details. In summary: we offer a 14-day money-back guarantee on first-time subscriptions. No refunds are issued after 14 days except where required by applicable consumer-protection law.
5. Acceptable use
You agree not to use the Service to:
- Send unsolicited bulk messages (spam) or messages prohibited by WhatsApp's policies
- Harass, threaten, or deceive any person
- Violate any applicable law, including consumer-protection or data-privacy regulations
- Reverse-engineer, scrape, or attempt to extract source code from the platform
- Circumvent any rate limits, access controls, or security measures
- Resell or sub-licence access to the Service without our written permission
Violations may result in immediate suspension or termination without refund.
6. WhatsApp and Twilio
The Service relies on the WhatsApp Business Platform via Twilio. Your use of WhatsApp through Chat Close is also subject to Meta's WhatsApp Business Terms of Service and WhatsApp's Acceptable Use Policy, and Twilio's terms of service. You are responsible for ensuring your messaging activity complies with those policies.
7. AI-generated content
Chat Close uses Anthropic's Claude API to generate suggested replies. These suggestions are presented as drafts for human review. You are solely responsible for reviewing and approving any AI-generated message before sending it to a customer. We make no warranty as to the accuracy, appropriateness, or suitability of AI-generated suggestions.
8. Data and privacy
Our collection and use of personal information is governed by our Privacy Policy, which forms part of these Terms. By using the Service you consent to the data practices described therein.
You retain ownership of your business data and your customers' conversation data. You grant us a limited licence to process that data solely to provide and improve the Service.
9. Intellectual property
The Chat Close platform, branding, and underlying code are owned by Valour Group (PTY) Ltd. These Terms do not transfer any intellectual property rights to you. You are granted a limited, non-exclusive, non-transferable licence to access and use the Service during your subscription period.
10. Availability and service levels
We aim to keep the Service available 24/7 but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where practicable. We are not liable for downtime caused by third-party providers (Twilio, Render, Anthropic, Paddle, Cloudflare).
11. Limitation of liability
To the fullest extent permitted by applicable law:
- The Service is provided "as is" without warranties of any kind, express or implied.
- We are not liable for any indirect, incidental, special, or consequential damages arising from your use of, or inability to use, the Service.
- Our total aggregate liability for any claim arising from these Terms shall not exceed the fees you paid to us in the three months preceding the claim.
Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded by South African law.
12. Termination
Either party may terminate the agreement at any time. We may suspend or terminate your access immediately if you breach these Terms, fail to pay, or if required by law or a third-party provider.
On termination, your access will be revoked and your data deleted in accordance with our Privacy Policy. Account data is retained for 90 days post-termination to allow for reactivation or data export requests.
13. Governing law and disputes
These Terms are governed by the laws of the Republic of South Africa. Any dispute that cannot be resolved amicably will be referred to the courts of South Africa, which shall have exclusive jurisdiction.
14. Changes to these Terms
We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
